1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website operated at vaydin.agency, any related messaging services we make available, and any digital services we provide (together, the "Services").

The Services are provided by VAYDIN PARTNERS INVESTMENTS - FZCO ("Vaydin", "we", "us", "our"), a company registered in the Dubai Silicon Oasis Free Zone, United Arab Emirates.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

Specific engagements between Vaydin and a business client are governed by separate written agreements. In the event of any conflict between these Terms and a signed engagement agreement, the signed agreement prevails.

2. Definitions

• "You" means the individual or business entity accessing or using the Services.
• "Services" means our website, our messaging services, and any digital service offered or operated by Vaydin.
• "Content" means any text, image, data, or material made available through the Services.

3. Eligibility

You may use the Services only if you are at least 18 years of age and capable of forming a legally binding contract under the laws of your jurisdiction. By using the Services, you represent that you meet these requirements.

If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Description of Services

Vaydin provides digital services to support service-based businesses, including but not limited to communications support, analysis, and operational tooling.

The nature, scope, and specifications of services delivered to any particular client are set out in the relevant engagement agreement. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

Nothing on our website or in our public communications constitutes a binding offer or commitment to deliver any specific service or outcome.

5. Acceptable Use

When using the Services, you agree that you will not:

• Use the Services for any unlawful, fraudulent, or harmful purpose
• Send unsolicited commercial messages, spam, or any content that violates applicable communications laws
• Attempt to access, scrape, copy, reverse engineer, decompile, or otherwise derive the source code, structure, internal logic, or methods of any Vaydin service or system
• Interfere with, disrupt, or attempt to gain unauthorised access to any part of the Services, our infrastructure, or other users
• Use the Services to harm, defraud, harass, or impersonate any person
• Misrepresent your identity or affiliation
• Use any automated means to interact with the Services in a manner that places unreasonable load on our systems

We may suspend or terminate your access to the Services if we reasonably believe you have breached this Section.

6. Intellectual Property

All intellectual property rights in and to the Services, including but not limited to software, designs, content, branding, logos, methodologies, models, processes, frameworks, scoring systems, dashboards, reports, templates, and any derivative works, are and shall remain the exclusive property of Vaydin or its licensors.

Nothing in these Terms grants you any right, title, or licence in or to any Vaydin intellectual property, except a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

You agree not to remove, alter, or obscure any proprietary notices on the Services.

Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by us without obligation or compensation to you.

Nothing in this Section 6 affects ownership of: (a) personal data, which is governed by our Privacy Policy; or (b) any business information or content you provide to us in the course of an engagement, which, as between you and Vaydin, remains your property, subject to the licences granted to us in the relevant engagement agreement to enable us to deliver the Services.

7. Confidentiality

Information and materials shared between Vaydin and any prospective or current client during the course of business discussions, evaluations, or engagements may be confidential. Both parties agree to handle such information with reasonable care and not to disclose it to unauthorised third parties without consent. Specific confidentiality terms applicable to a client engagement are set out in the relevant engagement agreement or separate non-disclosure agreement.

8. Third-Party Services

The Services may interact with or rely on third-party platforms and services. We are not responsible for the availability, content, accuracy, or practices of any third-party platform. Your use of any third-party service is subject to that party's own terms and policies.

9. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

We do not warrant that the Services will be error-free, uninterrupted, secure, or that any defects will be corrected.

Any information, analysis, or recommendation provided through the Services is for general informational purposes and does not constitute legal, financial, medical, regulatory, or professional advice. You are solely responsible for evaluating and acting on any such information.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Vaydin, its directors, shareholders, employees, contractors, agents, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, business, goodwill, data, or other intangible losses, arising out of or related to your use of, or inability to use, the Services, whether based in contract, tort, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

In any case, our total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to Vaydin in the twelve (12) months preceding the event giving rise to the claim, or, where no fees have been paid, the sum of one hundred United States dollars (USD 100).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vaydin and its directors, shareholders, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Services, or your violation of any applicable law or the rights of any third party.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe that you have breached these Terms.

Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination — including but not limited to Sections 6 (Intellectual Property), 7 (Confidentiality), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) — shall survive.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applicable in the Emirate of Dubai.

Any dispute, claim, or matter arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of the Emirate of Dubai, United Arab Emirates.

14. Changes to these Terms

We may modify these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the Services after changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, our Data Deletion Policy, and any signed engagement agreement, constitute the entire agreement between you and Vaydin in relation to the Services, and supersede any prior agreements, communications, or understandings.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
